    Terms of Sale

    These terms are governed by the laws of the Republic of South Africa and include the disclosures required by the Electronic Communications and Transactions Act 25 of 2002 (ECTA).

    2. These terms

    These Terms of Sale apply to every order you place with us through this store. By placing an order you confirm that you have read and accept them. They should be read together with our Returns Policy, Shipping Policy and Privacy Policy, which form part of your agreement with us. Nothing in these terms limits your rights under the Consumer Protection Act 68 of 2008 (“CPA”) or ECTA where those apply to you.

    3. Placing an order

    When you submit an order you make an offer to buy the items in your cart. A binding contract only forms when we accept your order — which we do by confirming the order and, for prepaid methods, once payment is received. We may decline or cancel an order (for example, where an item is out of stock, a price was clearly wrong, or we cannot verify the order), in which case we refund any amount already paid.

    4. Prices, VAT and repricing

    Prices are shown in South African Rand (ZAR). Where Todae is registered for VAT, prices are shown inclusive of value-added tax at the applicable rate (currently 15%), with the VAT-exclusive amount also shown; a full VAT breakdown appears at checkout and on your tax invoice. Where we are not yet VAT-registered, a single price is shown and no VAT is charged or represented. The VAT treatment that applies to your order is the one shown at checkout and recorded on your invoice.

    The displayed price is what we will charge for the items in your cart at the time you order. Because prices and stock can change, we confirm every price on the server when you check out. If a confirmed price is lower than displayed, you pay the lower amount. If it is higher, we will not charge you more without first showing you the updated price and asking you to confirm before you pay. Delivery charges are shown separately before you pay; some heavy or bulky items are quoted for delivery before dispatch (see the Shipping Policy).

    5. Payment and payment security (ECTA section 43(5))

    We accept:

    • Card and instant EFT and other methods via our payment gateway; and
    • Manual EFT against a proforma invoice, using the banking details and unique reference we provide (your order is reserved and dispatched once payment reflects).

    We take the security of payments seriously. Card payments are processed on the secure, PCI-DSS-compliant systems of our payment gateway; we do not receive or store your full card number, and card data is transmitted over an encrypted connection directly between you and the gateway. Payment notifications from the gateway are cryptographically verified and independently confirmed with the gateway before we treat an order as paid, and each transaction is checked against the order amount. If you believe a payment through our site was not secure or was made without your authority, contact us immediately at info@todae.net.

    6. Stock and lead times

    Stock indicators are shown per item. Items marked as on order are not held in stock and carry an estimated lead time; where you buy such an item you acknowledge the lead time at checkout. Lead times are estimates and not guaranteed. If an item cannot be supplied within a reasonable time we will contact you with options, including a refund.

    7. Delivery, risk and ownership

    Delivery options, charges, insured delivery for high-value orders and collect-at-warehouse are set out in our Shipping Policy. Risk in the goods passes to you on delivery, or on collection if you collect from our warehouse. Ownership of the goods only passes to you once we have received payment in full. Please inspect your order on delivery and report any shortage, visible damage or incorrect item to us promptly.

    8. Cooling-off and returns

    If you are a consumer buying online, ECTA gives you a 7-day cooling-off right: you may cancel the transaction within 7 days after receiving the goods, without reason and without penalty, and receive a refund (you are responsible for the cost of returning the goods, which must be returned in a resalable condition). Certain items are excluded from the cooling-off right by law. This is separate from your rights when goods are defective.     9. Warranties and defects (CPA section 56)

    Under the CPA, goods come with an implied warranty of quality. If goods are defective, unsafe or not of good quality, you may within six months of delivery return them and choose, at our cost, a repair, a replacement or a refund. This right cannot be contracted out of, and any “no returns” or “voetstoots” wording does not apply to defective goods sold to consumers. Manufacturer warranties, where offered, are in addition to and do not reduce your CPA rights. See the Returns Policy to lodge a claim.

    10. Installation

    Where you add professional installation, the installation is carried out by a certified installer in our network. Security-equipment installation is performed by installers registered with the Private Security Industry Regulatory Authority (PSIRA), and electric-fence installations are performed by installers registered with the Department of Employment and Labour, who issue the required Electric Fence System Certificate of Compliance. Installation is subject to any additional terms provided for that service.

    11. Export & United States restrictions

    The store is operated for the South African market. Certain equipment brands may not be sold or shipped to the United States because of US federal restrictions (the FCC “Covered List”). We do not process US checkout; US enquiries are handled by quote request only, and restricted brands are excluded from any US quote. You are responsible for compliance with the laws of any destination outside South Africa.

    12. Liability

    Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including under the CPA. Subject to that, we are not liable for indirect or consequential loss, and our total liability for any order is limited to the amount you paid for that order. You remain responsible for ensuring that the equipment you buy suits your intended use; we are happy to help you specify a system before you buy.

    13. Complaints and disputes

    We want every issue resolved fairly. Please contact us first at info@todae.net so we can help. If we cannot resolve a consumer complaint, you may refer it to the National Consumer Commission or an accredited consumer ombud/tribunal, or to the courts.

    14. Governing law

    These terms are governed by South African law, and you agree to the jurisdiction of the South African courts. If any part of these terms is found unenforceable, the rest continues to apply. We may update these terms; the version in force when you order applies to that order.
